1. About these terms
These terms are between you and Ragpiq Pty Ltd (ABN 83 686 092 473), called Ragpiq, we or us. They apply whenever you use Ragpiq: the Ragpiq website, the Ragpiq app, the Ragpiq Store app, and the messages, payments and other services we provide through them, together called the Service.
Other terms sit beside these and apply as well: the Ragpiq Consignment Agreement, when you consign items or sell them to us for instant cash; the Store Terms, if you run a store on Ragpiq; our Privacy Policy; and any terms shown with a promotion. Where one of those is more specific about something, it applies to that thing.
You agree to these terms when you create an account or use the Service. If you do not agree, please do not use it.
Nothing in these terms excludes, restricts or changes any right you have under the Australian Consumer Law, or any other law, that cannot lawfully be excluded.
2. Who's who on Ragpiq
Ragpiq is a Melbourne service for selling pre-loved clothing, shoes and accessories. We price items, make offers, collect items and count them in at our sorting facility in Abbotsford, sell items ourselves, and place items with stores in our network.
Sellers are people who sell or consign their items through Ragpiq.
Stores are independent resellers that use Ragpiq to run their business and that take items from Ragpiq to sell. Each store is its own business. It has agreed to our Store Terms and is responsible for its own shop, its listings and its dealings with its own customers.
Buyers are people who buy an item from Ragpiq or from a store, in a shop, on a website or on a marketplace. A purchase is between the buyer and whoever sold the item, on that seller's terms and, on a marketplace, the marketplace's terms too.
3. Your account
You must be at least 18 to create an account and to sell or consign through Ragpiq.
Give us accurate details and keep them up to date, in particular your name, email address, mobile number and the bank account you are paid into. We send notices about your account and your items to your email address and your phone, so an out-of-date address can mean you miss something that matters.
One person, one account. A store may add its staff to its own account, each with their own sign-in.
Keep your sign-in links and codes to yourself. You are responsible for what happens on your account, and you should tell us straight away if you think someone else has used it.
4. Selling items you upload to Ragpiq
When you upload items to Ragpiq, in the app or on the website, we look at each one and make you an offer for the items we want to take: instant cash for an item, consignment, or a choice of both. We set the price on the offer. If you think we have got something wrong, tell us from the item and we will look again. You can accept the items you want and leave the rest, and turning down an offer costs you nothing.
We only make offers on items we think we can sell, and the app tells you which items we are not taking before you send anything. Send only the items on the offer you accepted. If anything else arrives, we tell you, and you can collect it from our sorting facility, have it posted back for the postage shown, or ask us to donate it.
Items must be clean and as you described them. When your items arrive at our sorting facility we count them, photograph them and record their condition, and you can see that record in the app. An item that is not as you described it is dealt with under the Ragpiq Consignment Agreement: you are asked to accept a new price for it or to have it back.
When you accept an offer, the Ragpiq Consignment Agreement applies to every item on it. For items you upload to Ragpiq, that agreement is with us. It sets out where your items go, how they are priced and sold, what you are paid and when, and what happens at the end of a consignment.
If you upload items for someone else as a Ragpiq Pro, you must have their permission. The items and the money are theirs, and they confirm the list of items before you accept an offer for them.
5. Consigning through a store
Some stores have their own Ragpiq invite link or QR code, and some use Ragpiq for their own customers in their shop. If you consign through a store's own invite link or QR code, or as one of a store's own customers, your agreement for those items is with that store, on the Ragpiq Consignment Agreement. The store makes the offer, holds and sells your items and pays you, and you deal with it directly. We provide the platform, and we can help if something goes wrong.
A store you deal with directly sees your name and contact details so that it can deal with you, as our Privacy Policy explains.
6. Getting your items to us
You choose how your items reach us, and the cost of each way is shown before you book: a courier we arrange, a postage label you buy from us, your own postage, or dropping your bag at our sorting facility.
Couriers are booked with a delivery partner. A courier is only offered where a driver can reach you and the fare is reasonable for the trip; otherwise you can post your items or drop them off. The fare is shown before you book, and it is an Amount Owed (section 9) unless you have been offered a free pickup. If a booking is cancelled after a driver has been sent, a cancellation fee the delivery partner charges us may also be an Amount Owed, and we tell you if it is.
Have your bag ready when the driver arrives, packed the way the app shows. A postage label is for the parcel it was bought for, and postage you arrange yourself is yours to pay. A parcel in the post is the carrier's responsibility until it reaches us.
If you consign through a store's own invite link or QR code, your items go to that store instead, in the ways it offers.
7. Authenticity checks, replicas and strikes
Everything you sell through Ragpiq must be genuine and yours to sell. We, or a store holding an item, may have any item checked by an independent authentication service, and may hold an item we reasonably believe is counterfeit, stolen or connected with a crime while that is looked into. Where the law requires it, we may hold an item for a set period before it can be sold, or hand it to the police or another authority.
If an item is found to be a replica, we tell you who checked it and what they found. Where we asked for the check, its fee of $15 is an Amount Owed (section 9).
We hold an item found to be a replica for 14 days from when we tell you. In that time you can collect it from where it is held, have it posted back for the postage and return fee shown, or send us proof of purchase. If you do none of those within the 14 days, we may dispose of the item.
A replica places a strike on your account. While your account has a strike we may ask for proof of purchase, such as a receipt, an order confirmation or the original tags and packaging, before we make an offer on any designer item, and we may decline an item you cannot show proof for. We may close an account with repeated strikes to new uploads. A strike never affects money already owed to you.
If an item is found not to be genuine after it has sold and you have been paid for it, the sale may be reversed, and what you were paid for it becomes an Amount Owed (section 9).
If you think a finding is wrong, reply to our message with your proof of purchase and we will review it.
8. Your wallet and payouts
Money you earn on Ragpiq, from instant cash or from a sale, is paid into your Ragpiq wallet, and from there to the bank account you set up. Payouts are made through Stripe, our payments provider. To be paid you need a payout account, which means accepting Stripe's Connected Account Agreement and giving Stripe the identity and bank details it asks for. Until your payout account is set up, we hold the money for you and pay it once it is.
Your wallet shows what you have been paid, what is on its way and anything that came off. A payment can show as processing for a few days while a bank transfer clears. When you withdraw, the money reaches your bank on the timing Stripe and your bank allow; any faster way of withdrawing, and its fee, is shown before you choose it.
If we pay you more than you are owed, by mistake or because a sale is refunded or reversed, the difference is an Amount Owed (section 9).
You are responsible for any tax on what you earn through Ragpiq. Where the law requires it, we give information about payments to the Australian Taxation Office or another authority.
A store you deal with directly may offer you credit to spend at that store instead of a cash payout. Credit is a claim on that store, not on Ragpiq, and the Ragpiq Consignment Agreement sets out its terms.
9. Amounts you owe us, and the direct debit
Some things are paid for by us on your behalf and recovered from you, and some money paid to you can become owed back. Together these are Amounts Owed: a courier fare, or a cancellation fee for one; a postage label; return postage and the return fee; the fee for a check that finds a replica; what you were paid for a sale that is refunded or reversed after you were paid; and anything else the Ragpiq Consignment Agreement names. Each is shown to you before you choose it, or, where you did not choose it, as soon as it arises.
Amounts Owed come off the next money we pay you first. They never take a payout below zero, and for a refunded or reversed sale you are never charged more than you were paid for that item.
When you add a bank account for payouts, you also authorise us to debit that account for Amounts Owed, under the direct debit request you accept at that time. If an Amount Owed has been outstanding for at least 14 days and no payout has covered it, we debit it on or about the 30th of the month (the last day of a shorter month), and when we do, we tell you the amount and what it was for, by email and in the app. We do not debit a total under $5. If a payout covers some or all of it first, the debit is smaller or does not happen.
If a debit is returned unpaid, the Amount Owed stays on your account, we tell you, and we may recover any dishonour fee our bank charges us. We try again on the next debit date.
If you think an Amount Owed is wrong, tell us before the debit date and we will look at it before debiting. You can ask us to stop or cancel the direct debit authority at any time by emailing hello@ragpiq.com. That stops future debits, but anything you owe is still owed.
10. Messages, notifications and texts
The Service includes messages between you and Ragpiq, and between you and a store you deal with directly. For items you upload to Ragpiq, your messages about them are with Ragpiq: a store holding one of your items deals with Ragpiq, not with you.
Keep messages about your items and your account. Do not use them to harass anyone, to share someone else's personal information, or to arrange a sale outside Ragpiq of an item that is consigned. Our team may read messages to help you, to keep the Service safe and to resolve a dispute. Photos and files you send are stored with the message.
We send you notifications, emails and text messages about your account, your offers, your items and your money. They are how we keep our promises to you, so we send them while you have items or money with us. You can stop marketing messages at any time.
11. Piq, pricing and other automated tools
Parts of the Service use automated tools, including artificial intelligence: to read photos and video, to suggest prices, to write listings, to edit photos for a listing, and to answer questions, such as Piq for stores and the question box on our agreement and help pages.
An automated answer is a guide, not a promise, and it can be wrong. What has been agreed with you is in these terms, the Ragpiq Consignment Agreement and your offer, and where an automated answer says something different, they apply. An estimate shown anywhere other than an offer is not an offer.
If you run a store, Piq can prepare changes for you, and nothing it prepares happens until you confirm it. You are responsible for what you confirm.
Do not try to make an automated tool say something it should not, or use one to get information about anyone else.
12. Stores on Ragpiq
If you run a store on Ragpiq, the Store Terms set out your agreement with us, including what you pay, how you take items from Ragpiq and how you treat sellers. These terms apply to your use of the Service as well.
You are responsible for your store's account and everyone you add to it, for your listings, and for your dealings with your own customers and buyers. Items you take from Ragpiq are dealt with under the Store Terms: you deal with Ragpiq about them, not with the seller, and you do not try to find out who the seller is or contact them.
When you connect a marketplace or a point-of-sale system to Ragpiq, you authorise us to act on that account for you in the ways you set up, such as listing, updating and removing items and recording sales, and you remain bound by that service's own terms.
13. Buying from Ragpiq or a store
When you buy an item from Ragpiq or a store, the sale is with whoever sold it, on its terms, and on a marketplace on the marketplace's terms too. Pre-loved items are sold as described in their listing, with their wear shown in the photos.
Photos and descriptions are as accurate as we and stores can make them, but colours can look different on different screens, and a listing can contain a mistake. A seller may correct a mistake in a listing, and may cancel an order affected by one, refunding what you paid.
Your rights as a buyer under the Australian Consumer Law are not affected.
14. Promotions, referrals and free pickups
From time to time we offer promotions, such as a free first pickup or a reward for referring someone. Each has its own terms, shown with it, which say who qualifies, what is covered and when it ends.
Unless its terms say otherwise, a promotion is one per person, cannot be exchanged for cash and cannot be combined with another. Referring yourself, or creating accounts to collect a reward, is not allowed, and a reward obtained that way may be cancelled or recovered.
We may end or change a promotion at any time, but not in a way that takes away something you have already qualified for.
15. Content you give us, and our content
Photos, video, descriptions and messages you give us stay yours. You give Ragpiq, and any store selling your item, permission to use them to run the Service: to price, list, market and sell your items and to promote Ragpiq. The Ragpiq Consignment Agreement says how long that permission lasts for listings.
You confirm that you have the right to give us what you upload, and that it does not infringe anyone else's rights.
If you send us ideas or feedback, we may use them without paying you or keeping them confidential.
The Ragpiq name and logo, our apps and website, and the content we create belong to us or to those who license them to us. You may use them only to use the Service.
16. Using Ragpiq properly
Do not use the Service to do anything unlawful, or to:
(a) sell or consign items that are counterfeit, stolen or recalled, or that you do not own or have no right to sell;
(b) give false or misleading information, or pretend to be someone else;
(c) harass, threaten, abuse or discriminate against anyone;
(d) collect or misuse anyone else's personal information;
(e) obtain money, credit, pickups or rewards you are not entitled to;
(f) copy, scrape or resell any part of the Service, or access it by automated means we have not agreed to; or
(g) interfere with the Service or its security, or upload anything harmful such as malware.
If we reasonably believe the Service is being misused, we may pause an offer, a consignment, a payout or an account while we look into it (section 17).
17. Pausing, suspending or closing an account
You can close your account at any time, in the app or by emailing us. If you have items with us, or money owed to you or by you, those are finished first: your items come back to you or finish their consignment, and money owed either way is settled. Our Privacy Policy and our account deletion page say what we keep after an account is closed, and why.
We may pause or suspend your account, or part of the Service, if we reasonably believe you have broken these terms or the law, if your account has repeated strikes, or to protect other users or the Service. We tell you what we are doing and why, unless the law stops us, and we lift a pause once the matter is resolved.
We may close your account if you seriously or repeatedly break these terms. Closing an account never takes away money already owed to you or items that are yours: we return your items, or finish their consignment under the Ragpiq Consignment Agreement, and pay what you are owed less any Amounts Owed.
Anything that by its nature should continue after an account closes, such as Amounts Owed and the sections on liability and disputes, continues.
18. The Service, and the other services we use
We work to keep the Service available and accurate, but we cannot promise that it will always be available, uninterrupted or free of errors. We may change, add or remove features, and we tell you before a change that takes away something you rely on.
Parts of the Service rely on other companies, including Stripe for payments, delivery partners for couriers, Australia Post for postage, authentication services, the marketplaces where items are listed, and the app stores. Their own terms apply to what they do, and we are not responsible for their services except where these terms or the law say we are.
Links to other websites are there for convenience. We do not control those websites.
19. Liability
Your items are covered by the Ragpiq Consignment Agreement, which sets out who is responsible for them and what you are paid if one is lost, stolen or damaged. Nothing in this section reduces that.
We supply our services with due care and skill. To the extent the law allows, and except as the Ragpiq Consignment Agreement says, we are not liable for loss of profits, revenue or opportunity, or for indirect or consequential loss, arising from the Service.
Where our liability for failing to meet a consumer guarantee can be limited, it is limited, at our choice, to supplying the services again or paying the cost of having them supplied again.
You are responsible for loss you cause by breaking these terms or the law, including by selling an item that is not genuine or not yours to sell, and you will cover Ragpiq for claims, loss and reasonable costs arising from that. This does not extend to loss caused by our own negligence or our own breach.
Nothing in these terms excludes, restricts or changes any right you have under the Australian Consumer Law that cannot lawfully be excluded.
20. Changes to these terms
We may change these terms. We tell you by email or in the app before a change that matters takes effect, and the current version is always on this page with the date it took effect. If you keep using the Service after a change takes effect, the changed terms apply to that use.
A change to these terms does not alter an offer you have already accepted: the Ragpiq Consignment Agreement says which version applies to a consignment and how it can change. If you do not agree to a change, you can close your account (section 17).
21. Disputes and governing law
If something goes wrong, tell us first, in the app or at hello@ragpiq.com, and we will try in good faith to sort it out. If that does not work, you can contact Consumer Affairs Victoria, and from there the Victorian Civil and Administrative Tribunal.
These terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of its courts.
22. General
These terms, with the other terms named in section 1, are the whole agreement between you and us about the Service, and replace anything said or written before.
If part of these terms is found to be unenforceable, that part is removed and the rest continues.
If we do not enforce a right straight away, we do not lose it.
We may transfer our rights and obligations under these terms to a business that takes over the Service, and we will tell you if we do. You may not transfer yours.
