Ragpiq®

Ragpiq Consignment Agreement

What you can count on when you consign through Ragpiq. In plain words first, then in full.

How consignment works

Consignment period

8 weeks

From the store’s check-in. Some stores choose longer, up to 18 weeks.

At the end, you choose

Full price first

4 weeks

No discounts for the first half of the consignment. Sold under its price then? You still get your share of the price.

The discount schedule

After the first half, a store can lower a price down to its floor. The more a piece is worth, the less can come off.

Agreed priceMost off
Under $50050%
$500 to $2,00030%
Over $2,00020%
  • Going lower needs your yes

To price a piece under its floor, the store needs your yes first. You’re asked in the app, and no answer in 7 days means no.

  • Your minimum payout

Sold under its floor without your yes? You still get your share of the floor. The store pays the difference.

What you are agreeing to

If you upload your items to Ragpiq, your agreement is with Ragpiq. We collect your bag, count it in at our sorting facility and answer to you for every item until it sells or comes back to you, even when a store in our network is selling it. That store deals with us, not with you. If you came through a store's own invite link or QR code, or you are one of a store's own customers, your agreement is with that store and you deal with it directly.

You keep ownership until an item sells. Nothing is collected until you accept, and you can cancel until your bag is on its way.

Read clauses 5 and 10 in full

Items you upload to Ragpiq go to a store in our network, anywhere in Australia, or we sell them ourselves. Sometimes we find the store before your bag leaves home. Your bag comes to our sorting facility in Abbotsford first, where every item is counted, photographed and condition-checked, and you can see that record. The app tells you which store has taken an item. Items consigned through a store's own invite link or QR code go straight to that store.

Read clauses 6, 8 and 9 in full

You are paid what your offer showed for the item, whether or not an insurer pays. For items you upload to Ragpiq, we pay you, whichever store had the item. Items worth $5,000 or more need a separate arrangement first.

Read clauses 11, 14 and 15 in full

You are paid your share of what the item sells for. For the first half of the consignment, at least 4 weeks, your price stays the same. After that a store can lower it to help it sell, down to the floor on your Schedule. To go lower, you are asked first. If it sells under its price in those first weeks, or under the floor without your OK, you still get your minimum, and the store covers the difference. You are told about price changes once a week. Instant cash is paid the day your items are counted in. For items you upload to Ragpiq, we may offer them to stores at a price above your offer; any difference is ours, for our costs and the risk of making you an offer first.

A refund reduces the sale, so what you are paid is reduced by the same proportion. If you were already paid, the difference comes off your next payout. You are never charged more than you were paid for that item.

Read clause 21 in full

The store holding an item sets the period, 8 to 18 weeks, from its check-in. About a week before it ends, we offer you a cash price for anything unsold. Or collect it free from the store, have it posted back for $5, or donate it. If you do not answer, it stays on sale. You can also end a consignment yourself once it has run 8 weeks, and nothing is ever sold, donated or kept without your say.

Read clauses 16, 17 and 18 in full

Nothing, unless you choose a service that costs money: a courier to collect your bag, a postage label, or having an item posted back to you, which is $5 at the end of a consignment. The price is shown before you choose. Ragpiq earns from the store's side of a sale, never from a fee taken off what you are paid.

Read clause 22 in full

Items must be genuine and yours to sell. Any item may be checked by an authentication service. A replica may cost you the check's fee and puts a strike on your account. You have 3 days from when you are told to collect it, have it posted back, prove it is real, or have it disposed of. If you do not choose in that time, it may be disposed of.

The agreement in full

Who you are dealing with

Clause 1. Who this agreement is between

This agreement is between you, the owner of the items, and one other party. Which one depends on how you consigned your items, and your offer and your Schedule both name it. The agreement is made up of these terms together with your Schedule, the record of your own consignment described in clause 35.

If you upload your items to Ragpiq yourself, in the Ragpiq app or on the Ragpiq website, your agreement is with Ragpiq Pty Ltd (Ragpiq, we, us). Ragpiq collects or receives your items, counts them in at its sorting facility, and either sells them itself or places them with one of its partner stores. Wherever an item is, Ragpiq answers to you for it until it sells or comes back to you. A partner store that takes your item takes it from Ragpiq, under its own agreement with Ragpiq. It is not a party to your agreement, and it deals with Ragpiq, not with you.

If you consigned through a store's own invite link or QR code, or as one of a store's own customers, your agreement is with that store. In these terms that store is the Reseller. It holds and sells your items and you deal with it directly, and Ragpiq provides the platform it uses. Clause 29 sets out what is different for you.

Our Terms of Service and Privacy Policy also apply to your Ragpiq account. Where they and this agreement say different things about a consignment, this agreement applies.

Clause 2. What Ragpiq does, and what it answers for

For items you upload to Ragpiq, Ragpiq prices them and makes you the offer, collects your bag when you ask, counts your items in, decides where each one is sold, keeps your Schedule and a record of every step, pays you, and deals with the store holding an item if anything goes wrong. Ragpiq is responsible to you for all of that, and for your items, from the moment it takes your bag until each item sells or comes back to you. A partner store holding one of your items answers to Ragpiq for it, and Ragpiq answers to you.

If your agreement is with a store, the Reseller is responsible to you for your items and your money. Ragpiq provides the platform the Reseller uses: the app, the pricing tools, the records, the payment rails and help if something goes wrong, and Ragpiq is responsible to you for doing those things properly.

Nothing in this agreement excludes, restricts or changes any consumer guarantee or other right you have against Ragpiq or a store that cannot lawfully be excluded under the Australian Consumer Law.

Clause 3. What this agreement covers

It covers items you consign: items you hand over so that they can be sold for you while you keep ownership until they sell. Each item on the offer shows its price and what you are paid when it sells. Choosing the consign option for an item consigns it on those terms.

It also sets out what happens when you choose instant cash for an item (clause 7). Instant cash is a sale of that item to Ragpiq, or to the Reseller if your agreement is with a store, not a consignment. Once the item has been paid for, nothing else in this agreement applies to it.

Clause 4. Some words we use

The Schedule is the record of your consignment, described in clause 35.

The Agreed Value of an item is the price for it shown on the offer you accepted. It is the base for the price floor in clause 13. It is not a promise that the item will sell, or that it will sell for that price. Your offer also shows what you are paid if the item sells at its Agreed Value, and that amount is what you are owed if the item is lost or damaged (clause 11).

Your Share is the part of the sale price you are paid for an item. It is set so that, at the price the item is first listed at, you are paid the amount your offer shows. Usually that price is the Agreed Value. If a store lists the item higher, Your Share is a smaller part of a higher price, and you are paid the same amount at that price. A sale above or below the listed price pays you more or less in the same proportion.

The Reseller is the store your agreement is with, when it is with a store (clause 1). The store is whoever holds and sells an item at the time: a partner store, the Reseller, or Ragpiq itself while it is selling an item. A partner store is an independent reseller in Ragpiq's network that has agreed to Ragpiq's Store Terms.

The sorting facility is Ragpiq's premises in Abbotsford, Melbourne, where items uploaded to Ragpiq are counted in; the address is in the app.

The Consignment Period is the time a store has to sell an item, and the End Date is the day it ends. Both are shown in the app and recorded on your Schedule once a store has checked the item in.

Your items, and where they go

Clause 5. The offer, and changing your mind

Every item you upload, or hand to a store, is looked at and you are sent an offer: by Ragpiq, or by the Reseller if your agreement is with a store. For each item, the offer shows the choices open for it: consign it, take instant cash for it, or leave it out. On an offer from Ragpiq, consignment is generally offered only on items priced over $200. Until you accept, nothing is collected and nothing is agreed. Declining costs you nothing.

When you accept an offer from Ragpiq, Ragpiq may start looking for buyers for your items straight away, while they are still with you (clause 9). If it does, the app shows how each item is going and tells you when your bag is ready to send (clause 6).

Until your bag has been collected, posted or delivered, you can cancel the whole offer, or take out any item on it, in the app, and it costs you no money. If a buyer had already taken an item you take out, the buyer is told, and our Terms of Service (section 17) say what that means for your account. After your bag has gone, clause 17 says how to take an item back.

Clause 6. Getting your items to Ragpiq

If Ragpiq looked for buyers while your items were still with you, the app tells you when your bag is ready: every item in it has a buyer or is staying with you, and only the items a buyer took go in the bag. You then have 5 days to book a courier or a drop-off, or to post the bag, in one of the ways below, and the app reminds you a day before they run out. The first time you run out of time, you are given 2 more days. After that, the items buyers took are cancelled, the buyers are told, the items stay with you, and our Terms of Service (section 17) apply as they do to a cancel.

You choose how your bag reaches Ragpiq, and any cost is shown before you book: a courier Ragpiq arranges, a postage label Ragpiq sells you or your own postage, or dropping the bag at the sorting facility. A courier fare is charged to you unless you have been offered a free pickup, and a driver is only offered where the fare is reasonable for the trip.

Ragpiq's responsibility for your items begins when the courier or Ragpiq's staff take the bag from you, or when a posted parcel reaches the sorting facility. Until the items have been counted, your upload is the record of what you handed over. A parcel in the post is the carrier's to answer for until it arrives.

If your agreement is with a store, your items go to the Reseller instead, in the ways it offers, and its responsibility begins when it or its courier takes them from you.

Clause 7. Instant cash

If you chose instant cash for an item, you are selling that item to Ragpiq, or to the Reseller if your agreement is with a store, for the amount shown on the offer. The amount is paid into your Ragpiq wallet when your items are counted in, usually the day they arrive, and you can withdraw it to your bank from there. Ownership of the item passes to Ragpiq, or to the Reseller, when you are paid.

The sale is final, except where a store returns the item under clause 12. There is no consignment period, no share of any later sale, and no unsold choice for a cash item. An item that is missing from the bag, or is not the item you showed us, is not paid for, and you are told which item and why.

If a cash item is lost or damaged after Ragpiq or the Reseller has taken responsibility for it and before you have been paid, you are paid the cash amount.

Clause 8. The count-in

When your bag reaches the sorting facility, Ragpiq counts the items against your upload, photographs each one and records its condition, and you can see that record in the app. It is the condition baseline for your consignment. If your agreement is with a store, the Reseller's check-in does the same job.

If an item is not as you described it, you may be asked to accept a new price for it or to take it back. Clause 12 says how that works.

Where the law requires identification to be recorded for a category of item, such as jewellery and watches, you may be asked for identification, and whoever receives the item keeps those records as the law requires.

Clause 9. Which store sells your items, and where

For items you upload to Ragpiq, Ragpiq finds a buyer for each item: a partner store it chooses because that store sells that kind of piece well, or Ragpiq itself. It may start as soon as you accept, while your items are still with you, or after the count-in. It offers an item to one store or a few stores at a time, starting with those most likely to want it, and each has a short time to say yes. Partner stores are independent resellers anywhere in Australia that Ragpiq has vetted and approved, and a store outside the area Ragpiq's van covers receives its items by post. They take items from Ragpiq on its Store Terms, which require a store to check an item in with photographs within 3 business days of receiving it, to keep to the item's price floor, and to hold insurance for the items it holds. An item you chose to consign is offered only to stores that take items on consignment.

Placing an item with a store changes nothing you agreed to. The store holds the item for Ragpiq and answers to Ragpiq for it, and Ragpiq stays responsible to you for it. Your Agreed Value, floor and minimum payout stay as your Schedule shows them, and at the price the store lists the item at you are still paid the amount your offer shows. The store's check-in record is added to your Schedule, and you are told in the app when an item moves. Ragpiq may move an item to another store, or back to its sorting facility, on the same terms.

The app tells you which store has taken an item. A few stores ask not to be named; then the app says a partner store. A store holding your item deals with Ragpiq about it. The store is shown your first name, your profile photo and your suburb, and the photos, video and spoken answers you uploaded. It is not shown your surname, email, phone number or address, except in two cases: if you and the store message each other in the app, it sees the name on your account, or your email if your account has no name; and if an item is posted back to you from the store, the label shows your name and address. If you collect an item from a store, the store is given your first name and a collection code (clause 17).

To sell an item, the store photographs it, writes the listing, and offers it for sale in its shop, on its own website and on marketplaces such as eBay, Depop, Grailed, Vinted and Vestiaire Collective. Listings are published under the store's own accounts, not under your name, and buyers deal with the store, not with you. Which marketplaces are used is the store's choice and can change during your consignment. Listing widely is how your items reach buyers, so it is part of the service rather than something you switch on item by item.

If Ragpiq looked for buyers while your items were still with you, an item no store took stays with you and is not collected, and it stays in your wardrobe in the app.

An item that reaches Ragpiq's sorting facility without a buyer, or no longer has one, stays with Ragpiq while Ragpiq finds another buyer, and Ragpiq may sell it itself. It stays yours, and you can take it back at any time under clause 17.

If your agreement is with a store, your items stay with the Reseller and are never placed with another store (clause 29).

Care, loss and damage

Clause 10. Ownership, and how your items are held

You keep ownership of each consigned item until it is sold to a buyer. Until then Ragpiq, or the Reseller if your agreement is with a store, holds it for you as a bailee for reward, with possession and a limited authority to sell, and gains no ownership interest. When Ragpiq places an item with a partner store, the store holds it for Ragpiq, and Ragpiq remains responsible to you as your bailee.

A bailee for reward owes a duty to take reasonable care of the items, and if an item is lost or damaged the onus is on the bailee to show that reasonable care was taken.

This consignment may create a security interest in your favour under the Personal Property Securities Act 2009 (Cth). You agree to that interest being registered on the Personal Property Securities Register against whoever holds your items, Ragpiq included, and to giving us the information we reasonably need to do so. Registration is what protects your claim to the items if the holder became insolvent.

Clause 11. Loss, theft or damage

From the moment Ragpiq, or the Reseller, takes responsibility for an item until it is sold, handed back to you, or donated under clause 18, the item is its responsibility: at the sorting facility, in transit, at a store, and wherever a store keeps its stock.

If an item is lost, stolen or damaged in that time, you are paid the amount your offer shows for it, or the cash amount for an instant cash item not yet paid for, whether or not an insurer pays. For items you upload to Ragpiq, Ragpiq pays you, whichever store had the item, and settles with the store itself; a difference between Ragpiq's count-in record and a store's check-in record is for Ragpiq and the store to sort out, never you. If your agreement is with a store, the Reseller pays you.

When an item comes back to you, that responsibility ends when the item is handed to you, or to the carrier for a return you asked to have posted. The return trip is the carrier's to answer for.

Clause 12. If an item is not as you described it

At the count-in, or when a store checks an item in, it may be found not as you showed it: a flaw that was not mentioned, a different size, a repair. You are then asked, in the app, to accept a new price for it or to have it back. For items you upload to Ragpiq, the question comes from Ragpiq, whichever store found the difference. If a store had already taken the item, that store's yes falls away while you are asked, and once you accept a new price the item is offered to stores again at that price.

These questions are sent to you in a review in the app, together with any finding under clause 24 that an item is a replica. You have 3 days from when the review is sent to answer, with a reminder after 2. If you have not answered about an item by then, you are treated as having accepted its new price.

If you would rather have an item back, you say how in the review: collect it free from the sorting facility at a time you book in the app, or have it posted to you for the return postage shown in the app. If your agreement is with a store, the item is instead held for you to collect from the Reseller for 3 days, and is then posted to you at the return postage shown in the app.

For items you upload to Ragpiq, a store that took an item while it was still with you may return it within 7 days of receiving it if the item is damaged or not as described. A store cannot return an item because it changed its mind, or once the item has sold. Ragpiq decides, and if it accepts the return it tells you why and the item is posted back to you. You then pay the return postage ($15) and pay back any instant cash you were paid for the item. These come off your next payout, or are recovered the way clause 21 describes, and you are told when they are.

Clause 13. Price, and how low it can go

Your items are listed at their Agreed Value or higher, and for the first half of the Consignment Period the price is not lowered at all. The first half is never less than 4 weeks from the store's check-in, and an open-ended consignment counts as 8 weeks. The app shows the day discounts can start. If an item sells below its price in that time, in a shop, at a counter or anywhere else, you are still paid Your Share of its price, and the store that sold it makes up the difference, never you.

After the first half, to help an item sell, the store may lower its price, down to a floor. The floor depends on the Agreed Value: up to 50% may be taken off where the Agreed Value is under $500, up to 30% from $500 to $2,000, and up to 20% above $2,000. Your Schedule shows the floor and your minimum payout, in dollars, for every item. If a store lists an item above its Agreed Value, the floor rises in the same proportion and your minimum payout does not go down.

Your minimum payout is Your Share of the floor. If an item sells below its floor and you did not agree to that price, you are still paid your minimum payout, and the store that sold it makes up the difference, never you. This is a minimum. It does not limit any other right you have.

If you agree to a lower price under this clause, your minimum payout is worked out on the price you agreed to. Clauses 21 and 22 still apply to what you are paid.

To list an item below its floor, the store must have your yes first. You are asked in the app, by Ragpiq for items you upload to Ragpiq, or by the Reseller if your agreement is with a store, and shown the new price and the least you would be paid. You may say yes or no. If you do not answer within 7 days, the answer is no and the price stays where it is. A yes to one price is not a yes to anything lower.

For items you upload to Ragpiq, Ragpiq may mark an item Fixed price on your offer. A Fixed price item is never discounted while it is consigned: its floor is its price, and your minimum payout is Your Share of that price.

You are sent a summary of price changes once a week, after they are made. A price rise needs no notice.

Whichever store holds your item, what you are paid for a sale is worked out under clause 19, and is never less than this clause promises.

Clause 14. The limit on what is owed for an item

Liability to you for any item, whether it is Ragpiq's or a store's, is limited to the amount your offer shows for it, or the cash amount for an unpaid instant cash item. Items with an Agreed Value of $5,000 or more are not covered by this limit, and are not accepted without a separate written arrangement made before they are collected.

Nothing in this agreement excludes, restricts or changes any consumer guarantee or other right that cannot lawfully be excluded under the Australian Consumer Law. Where liability cannot be excluded, it is limited to the maximum extent the law allows.

Clause 15. Insurance

Ragpiq, for items at its sorting facility and in its care, and every store holding consigned items, must hold insurance covering those items against loss, theft and damage, for at least their total Agreed Value. Every partner store must show Ragpiq evidence of that cover.

Insurance does not change what you are owed. If an item is lost, stolen or damaged, clauses 11 and 14 apply whether or not an insurer pays.

Selling, money and the end

Clause 16. How long a consignment runs

The Consignment Period for an item is set by the store that checks it in, between 8 and 18 weeks (8 weeks unless the store has chosen otherwise), or is open-ended. It starts when the store checks the item in, and the End Date is shown in the app and on your Schedule. If Ragpiq moves an item to another store, that store's period starts at its own check-in.

An item Ragpiq holds itself, at its sorting facility or listed for sale by Ragpiq, has no clock running against it. It stays yours until a store takes it, it sells, or you take it back.

For an open-ended consignment, either you or Ragpiq (or the Reseller, if your agreement is with a store) may end it by giving 14 days' notice.

Clause 17. Taking an item back, or ending a consignment

You can end the consignment of an item from the item in the app once it has been on consignment for 8 weeks, whether or not it has been listed, and the app shows the day that opens. You choose how it comes back: collect it free from wherever it is, have it posted to you for $5 wherever it is in Australia, or, where the store holding it donates items, donate it.

The item comes off sale when you choose. If it sells before the listing comes down, that sale stands and you are paid for it as a sale.

An item you choose to collect is held for you for 14 days. If it has not been collected by then it goes back on sale at its current price, and you can choose again at any time.

For items you upload to Ragpiq, an item at a partner store is collected from that store. Ragpiq gives the store your first name and a collection code, and nothing else about you.

Clause 18. About a week before the end

About a week before an item's End Date, if it is still unsold, Ragpiq's pricing team sets a cash price for it, which can be lower than the instant cash amount on your offer. You are asked in the app and by email what should happen to the item, with four choices: cash out at that price; collect it free; have it posted back to you for $5, wherever it is in Australia, with Ragpiq paying the rest of the postage; or donate it, and the store holding it takes it to a charity and you are told when it has gone. If Ragpiq has not set a cash price in time, you are asked with the other three choices. You answer for each item. For items you upload to Ragpiq, the message and every choice go through Ragpiq.

If you cash out, the store holding the item is offered it first at the cash price, then other stores in Ragpiq's network, and Ragpiq itself, at the same price. The item stays on sale while they are asked. Ragpiq pays you the cash price once the store that buys the item has it: straight away when the store holding it buys it, or after the item reaches another store that bought it, and no later than 21 days after it is posted to that store. You are not told which store bought it. If no store has bought the item within 7 days of your choice, you are told, and you can collect it free, have it posted back for $5, or donate it.

You are reminded before the End Date. If you have not answered by then, the item stays on sale where it is, and you can still choose at any time. Nothing is ever donated, sold to a store or to Ragpiq, or kept by anyone as their own, without your say.

A store may also decide to stop selling an item before its End Date. You can then collect it free, have it posted back for $5, or, where the store donates items, donate it. For items you upload to Ragpiq, Ragpiq may instead place the item with another store on the same terms, and you are told.

Clause 19. Your share, and how a sale is split

When an item sells, you are paid Your Share of the sale price. If it sells on a marketplace, that marketplace's fee comes off the sale first, and Your Share and the rest are both worked out on what is left, so you carry that fee in the same proportion as your part of the sale. In a shop, or on a store's own website, there is no marketplace fee and Your Share is worked out on the full price. Whatever the split, you are paid no less than your minimum payout under clause 13.

Postage a buyer pays is not part of the amount that is split. It pays for sending the item to the buyer.

For items you upload to Ragpiq, Ragpiq prices each item itself and makes you the offer before any store has taken it. It then offers the item to stores in its network, at a price that may be higher than the price on your offer. Any difference is Ragpiq's: it covers Ragpiq's costs and the risk it takes in making you an offer before it knows a store will take the item. It never changes what you are paid.

Ragpiq's platform fee is charged to the store, never to you. The only amounts that can come off what you are paid are the ones this agreement names: a refund under clause 21, a cost you chose under clause 22, the fee in clause 24 for an item found to be a replica, the return postage in clauses 12, 17 and 18, and instant cash paid back when a store returns an item under clause 12. Each is shown to you before it applies. There are no other deductions and no fees you have not seen.

Clause 20. Being paid

Your Share is paid into your Ragpiq wallet, and from there to the bank account you set up, once the buyer has paid and the sale has been settled through Ragpiq. A sale Ragpiq makes itself is settled at once. A partner store must settle a sale within 7 days of the sale. If it is late, Ragpiq chases it, and you can see the state of every sale in the app. You are told when an item sells, and again when you have been paid.

For items you upload to Ragpiq, it is Ragpiq that owes you Your Share of every sale of your items, whichever store made it. A store that is late or does not pay is for Ragpiq to recover, not you.

If your agreement is with a store, you may instead be offered credit to spend at that store, which clause 23 describes.

For GST, you are the principal and the supplier of your items. Ragpiq, or the Reseller if your agreement is with a store, sells them as your agent, and a partner store that sells an item Ragpiq placed with it does so for Ragpiq. No GST is charged to you on the sale of your own items.

Clause 21. If a buyer returns an item

Sometimes a buyer returns an item after it has sold, or a sale is refunded or reversed. When that happens the sale is treated as reduced by the amount refunded, and what you are paid for it is reduced in the same proportion. On a $100 sale paying you 60%, a $10 refund reduces what you are paid by $6.

If you have already been paid, the difference comes off your next payout, or off your credit balance at that store if you were paid in credit. If neither covers it, it is an Amount Owed under Ragpiq's Terms of Service, which Ragpiq may debit from the bank account you gave for payouts, on or about the 30th of the month, telling you the amount when it does. You can never be charged more than you were actually paid for that item, and if the whole sale is refunded you return your whole share for it and nothing more.

If the item comes back, it is covered by this agreement again and goes back on sale. You are told when that happens.

Clause 22. Costs you may choose

Some services are paid for by Ragpiq on your behalf and recovered from you, and every one is shown with its cost before you choose it: a courier to collect your bag, a postage label, and return postage. The fee and postage for an item found to be a replica are set out in clause 24.

These come off your next payout first. Anything a payout does not cover is an Amount Owed under Ragpiq's Terms of Service, recovered the way clause 21 describes. Nothing else is ever charged to you.

Clause 23. Being paid in store credit

If your agreement is with a store, you may be offered credit to spend at that store instead of a cash payout. Taking it is your choice and you never have to. Credit is not offered on items you upload to Ragpiq.

Credit is a claim on that store, not on Ragpiq, and you can only spend it there. It may have an expiry date, which the store sets and which is shown to you before you choose credit. That date can never be less than 12 months from the day the credit is issued, and you are reminded before it expires.

Your promises, authenticity and misuse

Clause 24. Your promises, and authenticity

You confirm that you own the items and have the right to sell them, free of any security interest; that they are genuine and not counterfeit; that they are accurately described and in the condition you have shown us; and that selling them does not infringe anyone else's rights. You may be asked for proof of purchase for a designer item before an offer is made on it.

While an item is consigned you will not sell it, list it or promise it to anyone else. If you have already listed it somewhere, you take that listing down before your bag is collected, and you tell Ragpiq, or the Reseller, if it sells elsewhere before it can be taken off sale.

Ragpiq or the store may have any item checked by an independent authentication service, and may hold an item it reasonably believes is counterfeit or was not lawfully obtained while that is looked into. If an item is found to be a replica you are told who checked it and what they found, in the review described in clause 12, and, where Ragpiq asked for the check, the $15 fee for it is yours to pay. You then have 3 days from when the review is sent to choose what happens to it: collect it from where it is held, have it posted back for the postage and fee shown, send proof of purchase, or have it disposed of. If you have not chosen by then, it may be disposed of.

An item found to be a replica places a strike on your account. While your account has a strike you may be asked for proof of purchase before an offer is made on any designer item, and an account with repeated strikes may be closed to new uploads. A strike never affects money already owed to you.

Clause 25. Indemnity

You will cover Ragpiq, and any store that held your item, for claims, loss and reasonable costs that arise from a breach of your promises in clause 24, such as a problem with title, authenticity or someone else's rights. This cover is limited to matters that are your responsibility and does not extend to Ragpiq's or a store's own negligence.

Clause 26. Photographs and listing content

The store and Ragpiq will photograph your items and write descriptions of them in order to sell them. You give the store and Ragpiq permission to use those photographs and descriptions, and any photographs or video you upload yourself, to list, market and sell your items and to promote Ragpiq and the store.

Photographs taken by the store or by Ragpiq belong to whoever took them. Photographs and video you took stay yours, and this permission does not change that.

This permission continues after your consignment ends, but only so that listings and marketing already published can stay up. Once an item has come back to you, no new marketing that uses it is started.

Clause 27. Misuse of the platform

You must not use Ragpiq to do anything unlawful, to consign items you are not entitled to sell, to interfere with the sale or return process, or to obtain money you are not entitled to.

If the store or Ragpiq reasonably believes something of that kind is happening, it may pause the consignment, hold payment and hold the items while the matter is looked into. You will be told what is happening and why, and anything held is released as soon as the matter is resolved. Nothing in this clause allows anyone to keep your items or your money once a matter is resolved in your favour.

Clause 28. Someone consigning on your behalf

If a Ragpiq Pro, a stylist or organiser working for you, uploads items on your behalf, the items and the money stay yours: payouts go to your account, and the Pro accepts an offer for you only after you have confirmed the list of items. Your agreement is then with Ragpiq, exactly as if you had uploaded the items yourself, and what you have arranged with the Pro is between the two of you.

Clause 29. If your agreement is with a store

Some stores have their own Ragpiq invite link or QR code, and some use Ragpiq for their own customers. If you consigned through a store's own invite link or QR code, or as one of a store's own customers, your agreement is with that store, the Reseller, from the start.

Your items go straight to the Reseller, are never held at Ragpiq's sorting facility and are never placed with another store. The Reseller makes you the offer, checks your items in, sets the Consignment Period, asks you before going below a floor, pays you, and answers to you for your items. You deal with it directly, including by message. Ragpiq provides the platform it uses (clause 2). Everything else in this agreement applies as written.

Clause 30. If a partner store leaves Ragpiq

If a partner store holding one of your items stops working with Ragpiq, and the item is one you uploaded to Ragpiq, Ragpiq gets it back from the store and your consignment carries on: the item is placed with another store, or returned to you if you ask, at no cost to you.

If your agreement is with that store, this agreement still binds it. Within 14 days it must either get your items back to you at its own cost, or, if you agree, hand them to Ragpiq or another partner store to carry on the consignment on the same terms. Ragpiq tells you when this happens and helps arrange it.

Clause 31. Disputes and governing law

If something goes wrong, tell Ragpiq first, in the app or at hello@ragpiq.com. For items you upload to Ragpiq, Ragpiq deals with any store for you, and you never have to take a problem up with a store yourself. If your agreement is with a store, tell the store or Ragpiq, and Ragpiq helps with any dispute between you and the store. Either way the parties will try in good faith to sort it out.

If that does not work, you can take a consumer complaint to Consumer Affairs Victoria, and from there to the Victorian Civil and Administrative Tribunal. Those are free or low cost and are usually a better path than court for a dispute about a consignment.

This agreement is governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of its courts. Your rights that cannot be excluded under the Australian Consumer Law are not affected.

Clause 32. Changes to these terms

These terms may change over time.

A change to the commercial terms, such as Your Share, the price floor, the consignment period or any fee, applies only to consignments agreed after the change. Your Schedule records the version of this agreement that applied when you agreed it, and a later change does not alter what you already agreed to.

There is one narrow exception. These terms may be changed in a way that applies to consignments already running, or already finished, where the change is needed to comply with the law, to meet a regulator's requirement, or to deal with fraud, safety or misuse of the platform. You will be told before that kind of change takes effect. If it leaves you materially worse off you may end your consignment straight away and have your items back, at no cost to you.

Clause 33. Notices

Notices under this agreement are sent by email to the address on your Ragpiq account, and you are also told in the app and by text message. That includes the message about a week before an End Date, and any notice about an item coming back to you.

An email is treated as received on the next business day after it is sent. Keeping your email address up to date is your responsibility. Email is the address of record.

Clause 34. Agreeing to this agreement

You agree to these terms and to your Schedule when you accept the offer in the app or on the Ragpiq website. Before you accept, the offer shows you who your agreement is with, each item's price and what you are paid when it sells or the instant cash amount for it, the price floor rule, and a link to this agreement. Before you first consign under this version, the app may also show you its main rules and ask you to tick each one; Ragpiq then records the words you ticked, and when, with your acceptance.

Ragpiq, or the Reseller if your agreement is with a store, is bound by these terms from the moment you accept. A partner store Ragpiq places an item with is bound to Ragpiq by the Store Terms. Ragpiq records when you accepted, the version of this agreement you accepted, the device the acceptance came from, and which store has held each item and from when. Your Schedule is available in the app and as a PDF from then on.

Each Schedule records the version of this agreement that applied when it was agreed, so a later change to these terms does not change what you already agreed to, except as set out in clause 32.

Clause 35. The Schedule

The Schedule is the record for your specific consignment. Together with these terms it forms your contract. It records you and Ragpiq, or you and the Reseller, as the parties; each item, its Agreed Value, its price floor, your minimum payout, and the amount you are paid when it sells or the instant cash amount for it; the reference number and the dates the agreement was made; the count-in record and photographs when your items arrive; and, for each item, the store holding it, the date it took the item, the Consignment Period and the End Date once the store has checked it in.

Nothing you agreed to changes after you accept. The later entries record what happened to your items; they do not change your terms.

Clause 36. General

This agreement, together with your Schedule, Ragpiq's Terms of Service and Ragpiq's Privacy Policy, is the whole agreement between you and Ragpiq, or you and the Reseller, about these items, and it replaces anything said or written beforehand.

If any part of this agreement is found to be unenforceable, that part is removed and the rest of the agreement continues in force.

If a party does not enforce a right straight away, it does not lose that right.

Neither Ragpiq nor the Reseller may transfer this agreement to anyone else. Ragpiq placing an item with a store under clause 9 is not a transfer: Ragpiq stays responsible to you for the item. A store may keep your items at another location it controls, and you are told where an item is if you ask.

Neither Ragpiq nor any store has a lien over your items. Nobody may hold on to them, sell them or refuse to return them on the basis that you owe money.
